These Terms of Service (“Terms”) govern your use of our websites, products, and services (“Services”). If you do not agree, do not use our Services. Where a signed agreement, statement of work, or SLA exists, that document will take precedence in the event of conflict.
1) Definitions
“Axiom” means AXIOM GROUP AFRICA (PTY) LTD.
“Client/You” means any person or entity using our Services.
“Deliverables” means work product we provide (code, designs, documentation, deployments) as
agreed.
“Content” means text, images, data, files, and materials provided by you or generated for you.
2) Scope of Services
We provide technology services which may include web/mobile development, hosting, IoT/PLC software, emergency-response technology enablement, and online radio services. Specific scope, timelines, pricing, and responsibilities will be set out in a quotation, proposal, SLA, statement of work, or service order.
3) Quotes, orders, and changes
- Quotes are valid for the period stated on the quote (or 7 days if not stated).
- Work starts after acceptance of the quote and/or receipt of deposit (if applicable).
- Changes to scope may affect cost and timelines and must be agreed in writing.
4) Client responsibilities
You agree to:
- Provide accurate information and required access (domains, hosting, accounts, APIs, content) in time.
- Review and approve deliverables within reasonable timeframes.
- Ensure you have rights to any content you supply (logos, images, text, music, data).
- Keep credentials secure and notify us promptly of suspected compromise.
5) Payment terms
- Invoices are payable within the terms on the invoice (default: 7 or 14 days where not specified).
- Late payments may result in suspension of services (especially hosting) until accounts are brought up to date.
- Any bank charges, payment gateway fees, or chargebacks may be for the Client’s account where applicable.
- All prices are in ZAR unless stated otherwise and exclude VAT unless explicitly included.
6) Hosting and availability
Where we provide hosting (VPS, dedicated servers, web hosting), we will take reasonable steps to maintain availability and security. Planned maintenance may occur. Third-party outages (upstream providers, DNS, networks, cloud platforms) are outside our direct control.
7) Support and response times
Support channels, hours, response targets, and escalation are defined in your SLA or support plan. Where no SLA exists, we provide support on a reasonable-efforts basis during business hours.
8) Intellectual property
- Client IP: You retain ownership of content and materials you provide.
- Axiom IP: We retain ownership of our pre-existing tools, frameworks, templates, and know-how.
- Project Deliverables: Ownership/licensing of deliverables is as agreed in the quote/contract. Unless agreed otherwise, deliverables are licensed/assigned to you upon full payment.
9) Confidentiality
Each party will keep the other’s confidential information secure and use it only for the purpose of providing/receiving the Services, except where disclosure is required by law.
10) Data protection (POPIA)
We process personal information in line with our Privacy Policy and POPIA. Where we act as an operator for a Client, the Client remains responsible for lawful collection and instructions, and we will process data only on documented instructions (unless required by law).
11) Acceptable use
You may not use our systems/services to:
- Transmit unlawful, harmful, infringing, or malicious content
- Attempt unauthorised access, scanning, or exploitation
- Send spam or facilitate abuse
- Host content that infringes intellectual property rights
We may suspend services if required to protect our systems, other clients, or comply with law.
12) Warranties and disclaimers
We warrant that Services will be provided with reasonable care and skill. Except as required by law, Services and deliverables are provided “as is” and “as available”. We do not warrant uninterrupted availability, error-free operation, or that software will be completely free from defects.
13) Limitation of liability
To the maximum extent permitted by law, Axiom will not be liable for indirect or consequential damages (including loss of profits, business interruption, or loss of data). Our total liability for any claim will be limited to the fees paid by you to Axiom for the specific Services giving rise to the claim during the 3 months preceding the event, unless a different limit is stated in a signed agreement.
Nothing in these Terms of Service limits liability for matters that cannot be excluded under South African law.
14) Term and termination
- Either party may terminate in accordance with the contract/SLA or on reasonable notice where no fixed term is agreed.
- We may suspend/terminate immediately for material breach, non-payment, or unlawful use.
- On termination, you remain responsible for fees accrued up to termination and any agreed exit costs.
15) Backups and data
Where backups are included, we will take reasonable steps to perform them, but you should keep your own backups too. Data recovery is best-effort and not guaranteed.
16) Third-party services
Some services rely on third parties (cloud platforms, payment gateways, API providers). Their terms and policies may apply. We are not responsible for third-party failures outside our reasonable control.
17) Online radio / media services (where applicable)
If you use our radio/media services, you are responsible for ensuring you have the rights and licenses required for any content you submit or broadcast. We may remove content or suspend access if we reasonably believe it infringes rights or is unlawful.

19) Governing law and jurisdiction
These Terms Of Service are governed by the laws of the Republic of South Africa. The parties consent to the jurisdiction of South African courts.
20) Changes to these Terms
We may update these Terms of Service from time to time. The latest version will be published on our website or made available on request.
